Terms of Service

JuriCircle is software for managing legal matters, documents, deadlines, billing, client communication and related work, with features that use artificial intelligence ("AI Features"). The service includes our website, applications, and application programming interfaces (together, the "Service").

• You must provide accurate information, keep your sign-in details secure, and tell us promptly of any unauthorized use.
• Each person who uses the Service needs their own account. Administrators of an organization control who can access its data and what each person can do.
• You must be at least 18 and, where a licence is required for the work you do, be authorized to practise or work under the supervision of someone who is.

• We may offer a free trial. At the end of the trial, you must choose a plan and add payment to keep editing your data. If you do not, the account becomes read-only for 14 days and is then locked. During that period you can export your data.
• Paid plans are charged per user ("seat") per month or per year, as shown on the pricing page when you subscribe. AI Features use credits; included credits expire as described on the pricing page, and purchased credits expire 12 months after purchase.
• Subscriptions renew automatically for the same period until cancelled. You can cancel at any time in the Service; cancellation takes effect at the end of the current paid period. Fees are non-refundable, and we do not refund partly used periods, except where the law requires it or where we agree in writing.
• We may change prices with 30 days' notice before your next renewal. Changes do not apply to a period you have already paid.
• Fees exclude taxes. You are responsible for applicable sales, use, value-added and similar taxes, which we will add where required.
• Late or failed payments: we may retry the charge, suspend access after notice, and charge reasonable collection costs where permitted.
• Organizations paying by invoice pay within the terms stated on the invoice.

• You own your data ("Customer Data"): the matters, documents, communications and other content you or your users put into the Service. You give us a limited licence to host, process and display it only to provide, secure and support the Service and as these Terms and our Privacy Policy describe.
• You are responsible for having the right to put Customer Data into the Service, including client confidences and personal information, and for complying with your own professional and legal duties.
• Each organization's data is kept separate from other organizations' data. Access within an organization is controlled by its administrators and the permission settings it chooses.
• We do not sell Customer Data. We do not use Customer Data to train AI models, and we do not allow our AI providers to do so.
• We keep Customer Data for as long as your account is active and for the periods described in the Privacy Policy and offboarding terms afterward, unless you ask us to delete it or the law requires otherwise. You can export your data before closing your account.

• AI Features can make mistakes. Their output is not legal advice and is not a substitute for the professional judgment of a lawyer. You are responsible for reviewing and verifying all AI output, including citations, before relying on it or sharing it.
• AI Features rely on third-party providers. We choose providers and may change them. We describe our subprocessors on request.
• Do not use AI Features to generate content that is unlawful or that infringes others' rights, or to make decisions that produce legal effects about individuals without human review.

The Service lets you send documents for electronic signature. You are responsible for deciding whether a document can lawfully be signed electronically, for obtaining the signer's consent where required, and for the content of what is signed. JuriCircle provides the tool and an audit certificate; we do not provide legal advice about the validity of any signature.

You will not: break the law or others' rights; upload malware; attempt to access other organizations' data or probe, scan or test the Service's security without our written permission; overload the Service; resell the Service without our agreement; or use it to build a competing product by copying it.

The Service connects with third-party services you choose (for example email, payment, banking and legal research providers). Their terms apply to your use of them, and we are not responsible for them.

We and our licensors own the Service, including software, design and trademarks. You may use the Service only as these Terms allow. If you send feedback, we may use it without obligation to you.

We use reasonable administrative, technical and physical safeguards to protect Customer Data and will describe them in our security documentation. We will notify you without undue delay of a security incident affecting your Customer Data as the law requires.

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. Support is provided as described for your plan.

• You may stop using the Service and cancel at any time.
• We may suspend or end your access if you breach these Terms, if required by law, to protect the Service or others, or for non-payment. Where practical we will give notice first.
• On termination, you can export your data during an export period of at least 30 days. After that, we delete it according to our retention schedule, subject to any legal hold.
• Terms that by their nature should continue (for example payment, ownership, liability and dispute terms) continue after termination.

The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that AI output is accurate or complete.

To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, and our total liability for claims relating to the Service is limited to the amounts you paid us in the 12 months before the claim arose. These limits do not apply to our breach of confidentiality or of our data-protection obligations, to fraud or wilful misconduct, or where the law forbids them.

You will defend and indemnify us against third-party claims arising from your Customer Data or your breach of these Terms, and we will defend and indemnify you against third-party claims that the Service, as we provide it, infringes that party's intellectual property rights, and pay the costs and damages finally awarded, subject to the limits in these Terms. If a claim is made or likely, we may modify the Service so it no longer infringes, obtain a licence for you, or, if neither is reasonably possible, end your use of the affected part and refund prepaid fees for the period after that.

Program. The JuriCircle, Inc. text messaging program (the "Program") sends text messages to people who have asked JuriCircle for information or a demo, for example through a lead form or a booking page. Messages are about your request: confirmations, booking links, meeting reminders and short follow-up messages.

Who can join. You must be 18 years of age or older and have a mobile number in the United States to join the Program.

Consent. You join the Program by submitting a JuriCircle form or booking page that shows our text message notice and by agreeing to receive text messages, including messages sent with automated technology, at the number you provided. On our lead forms this is a separate checkbox that is optional and not pre-checked. Consent is not a condition of any purchase.

Frequency and cost. Message frequency varies, depending on your request. Message and data rates may apply. JuriCircle does not charge for the Program. Check with your mobile carrier about your plan.

Opt out (Text STOP). Text STOP to (628) 298-2290, or reply STOP to any message from us, at any time to stop receiving messages. We will send one message to confirm and then stop. You can rejoin by contacting us or submitting a form again.

Carriers. Wireless carriers and their partners are not liable for delayed or undelivered messages. The Program is available on supported U.S. carriers, including AT&T, T-Mobile and Verizon, and may not be available on every carrier or in every area.

Privacy. We do not sell, rent or share your mobile number or opt-in consent with third parties or affiliates for their marketing. See our Privacy Policy at https://juricircle.ai/privacy, Section 17, for how we handle information collected through the Program.

We may update the Service and these Terms. For material changes to the Terms we will give notice (for example by email or in the Service) at least 30 days before they apply. If you keep using the Service after the effective date, you accept the update. If you do not agree, you can cancel.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. The parties will first try to resolve disputes informally; then the state and federal courts located in Hillsborough County, Florida have exclusive jurisdiction.

These Terms, the Privacy Policy, and any order form or plan terms are the whole agreement. If a part is unenforceable, the rest continues. You may not assign these Terms without our consent; we may assign them in a merger or sale.
